Draft — pending counsel review

Terms of service

Version 2. Effective September 24, 2026 (Central Time).

Draft pending review by counsel. Until counsel approves this version, the signed agreement for your engagement governs where the two differ.

1. Who we are and what these terms cover

Drivia Consulting ("we", "us") designs, builds and supports software for businesses. These terms cover the website, the client portal, the estimate and request tools, and any product license you buy from us. Each build engagement is also governed by a master services agreement, a statement of work and, when the specification stage ends, a written specification. If those documents and these terms conflict, the signed engagement documents win.

2. Accounts

You must be at least 18 and able to bind the business you act for. Keep your sign-in secure; you are responsible for activity under your account. Account owners decide who else is a member and what each member may do (view, request, sign, pay).

3. Requests, estimates and specifications

An estimate is a good-faith range, not an offer. A price becomes binding only in a signed statement of work. The specification stage produces a written specification you approve before the build starts, and you may stop after it and keep the specification.

4. Payment

Builds are billed in milestones as set out in the statement of work; support plans are billed monthly. Invoices are due within the net terms printed on them. We accept card and ACH. We do not charge late fees. Third-party services (hosting, email, AI models and similar) are passed through at cost with no markup.

5. Refunds (pending counsel)

Milestone payments pay for work already delivered and accepted, so they are not refundable once the milestone is accepted. A deposit for work not yet started is refunded, less any third-party costs already committed, if you cancel before that work begins.

6. Cancellation (pending counsel)

You may end an engagement at any milestone with written notice. You pay for work performed up to that notice, and we deliver everything produced up to that point. You may cancel a support plan at any time; it ends at the close of the current billing month.

7. Auto-renewal (pending counsel)

Support plans and product licenses billed monthly or yearly renew automatically for the same period until cancelled. We email a reminder before each yearly renewal, and you can cancel from the portal before the renewal date.

8. Ownership

On full payment, you own the custom work product made for you. We keep our pre-existing tools, libraries and know-how and grant you a perpetual license to the parts included in your deliverable. Open-source components stay under their own licenses.

9. Your content and data

You keep all rights in what you give us. You allow us to use it only to scope, build, host and support your project. How we handle personal data is described in the privacy notice.

10. Acceptable use

Use of the portal and of anything we host for you is subject to the acceptable use policy.

11. Warranties and liability (pending counsel)

We perform the work with reasonable skill and care. Apart from that, the service is provided as is. Each party's total liability under these terms is limited to the fees paid in the twelve months before the claim, except where the law does not allow that limit.

12. Changes to these terms

We version these terms. If we make a material change we will ask you to accept the new version the next time you sign in. Earlier versions stay available on request.

13. Law and contact

These terms are governed by the laws of the State of Texas. Questions: support@drivia.consulting.
